# COMMERCIAL TERMS

**Commercial Schedule to the ENCY Extension Store Developer Agreement**
**Version 1.0 — Effective 1 November 2026**

## C.1 Status

This Schedule forms part of the Developer Agreement and sets out the commercial terms on which Extensions are distributed through the Store.

Capitalised terms have the meaning given in the Developer Agreement and the Publishing Policy.

## C.2 Commission

The commission is retained from each end-user transaction. The balance accrues to the Developer and is settled in accordance with section C.4.

ENCY may vary the commission on not less than **60 days'** written notice (Developer Agreement clause 9.6). A variation does not apply to transactions completed before its effective date.

## C.3 Pricing

### C.3.1 Setting prices

The Developer sets the price of its Extensions, within the price bands published in the Developer Portal. Prices are set in **EUR** and converted to other supported currencies at the rate applied by ENCY at the time of listing, updated periodically.

### C.3.2 Price changes

A price change takes effect for transactions occurring after it is applied. It does not affect transactions already completed, nor subscriptions already in their current term until renewal.

### C.3.3 Taxes

Prices are stated exclusive of indirect taxes. Value added tax, sales tax and equivalent charges are added at the point of purchase in accordance with the rules applicable to the end user's location, and are accounted for by the seller of record identified under Developer Agreement clause 9.2.

Where the balance due is below the minimum threshold, it is carried forward to the following period. On termination, any accrued balance is paid in the next settlement cycle regardless of the threshold.

A statement is made available in the Developer Portal for each settlement period, showing transactions, gross value, commission retained, refunds, adjustments and the net amount due.

## C.5 Refunds and chargebacks

### C.5.1 Refunds

Refunds to end users are administered by ENCY. Where a refund is granted:

(a) the transaction is reversed in full, including the commission retained by ENCY;

(b) the amount is deducted from the Developer's accrued balance, or, where the balance is insufficient, invoiced to the Developer;

(c) the end user's access to the Extension is withdrawn.

### C.5.2 When refunds are granted

### C.5.3 Chargebacks

Where a payment is charged back, the transaction is reversed as for a refund. Where chargebacks attributable to a Developer's Extensions exceed **1%** of its transactions in any settlement period, ENCY may withhold settlement pending investigation.

### C.5.4 Set-off

ENCY may set off against amounts payable to the Developer: refunds, chargebacks, related processing costs, amounts due under clause 9A of the Developer Agreement, and any other sum owed by the Developer to ENCY.

## C.6 Subscriptions

Where an Extension is offered on a subscription basis:

Where a subscription Extension is gated, lapse of the underlying ENCY Entitlement does not of itself cancel the subscription, but the gated capability becomes unavailable in accordance with Schedule B paragraph B.4.5. The Developer should make this clear in its listing.

## C.7 Taxes and documentation

### C.7.1 Developer's obligations

The Developer is responsible for its own taxes arising from amounts received. The Developer must provide, and keep current:

Settlement may be withheld where required documentation has not been provided.

### C.7.2 Withholding

Where withholding is required by law, ENCY withholds the required amount and provides documentation of the withholding. Where a treaty rate applies and the Developer has provided a valid certificate of residence, the treaty rate is applied.

### C.7.3 Self-billing

ENCY may issue self-billed invoices in respect of amounts due to the Developer. The Developer agrees not to issue its own invoice for the same amounts, and to notify ENCY promptly of any change to its VAT status.

## C.8 Promotions and discounts

## C.9 Records and audit

ENCY maintains transaction records for not less than **6 years** and makes them available to the Developer through the Developer Portal.

The Developer may, on reasonable notice and not more than once in any 12-month period, request verification of settlement statements for the preceding 12 months. Where verification discloses an underpayment exceeding **2%**, ENCY bears the reasonable cost of the verification and settles the shortfall.

## C.10 Amendment

This Schedule may be amended on not less than **60 days'** notice in respect of commission rates, and **15 days'** notice in respect of other provisions. Amendments do not apply retroactively.
