ENCY SDK LICENCE TERMS

1. Scope
These terms govern use of the ENCY Software Development Kit, comprising the libraries, headers, tools, sample code, documentation and application programming interfaces made available by ENCY SOFTWARE LTD for the development of Extensions (the "SDK").
They are incorporated into the ENCY Extension Store Developer Agreement. Where a person uses the SDK without having entered into that Agreement, these terms apply on their own.
2. Licence
2.1 ENCY grants a non-exclusive, non-transferable, non-sublicensable, revocable licence to use the SDK solely to develop, test, support and maintain Extensions intended for distribution through the ENCY Extension Store.
2.2 The licence includes the right to reproduce and distribute, as part of a compiled Extension, those redistributable components of the SDK that are identified as redistributable in the SDK documentation.
2.3 No other use is licensed. In particular the licence does not extend to use of the SDK to develop software for distribution outside the Store, save with ENCY's prior written consent.
3. Restrictions
The licensee must not:
(a) reverse engineer, decompile or disassemble the SDK or the Platform, except to the extent that such acts cannot lawfully be prohibited;
(b) use the SDK to develop a product that replicates, replaces or competes with the Platform itself, as distinct from an Extension to it;
(c) use the SDK, or any information derived from it, to circumvent, weaken, emulate or substitute the ENCY licensing, activation, entitlement-verification or anti-tamper systems;
(d) remove, obscure or alter any proprietary notice;
(e) distribute the SDK, or any non-redistributable part of it, to any third party;
(f) use the SDK in breach of applicable export-control or sanctions law.
Paragraph (c) reflects clause 5.2 of the Developer Agreement and paragraph 4.9 of the Publishing Policy. Breach is a material breach of both.
4. Ownership
The SDK is licensed, not sold. ENCY retains all right, title and interest in the SDK, the Platform and all intellectual property in them. No rights are granted by implication or estoppel.
5. Feedback
Where the licensee provides suggestions, reports or other feedback concerning the SDK, ENCY may use it without restriction and without obligation. Feedback is provided without any expectation of confidentiality or compensation.
6. Changes to the SDK
6.1 ENCY may modify, deprecate or withdraw any part of the SDK.
6.2 Where a change would require modification of a published Extension, ENCY gives not less than 12 months' notice before the affected SDK version ceases to be supported.
6.3 ENCY does not undertake that the SDK or any API will remain unchanged, or that an Extension will remain compatible with future Platform releases.
7. No warranty
The SDK is provided "as is". To the fullest extent permitted by law, ENCY excludes all warranties, conditions and representations, express or implied, including as to merchantability, fitness for a particular purpose, accuracy and non-infringement.
8. No liability
Section 12 of the Developer Agreement (Liability) applies to these terms as if set out in full, and governs ENCY's liability in respect of the SDK. Where the licensee has not entered into the Developer Agreement, ENCY has no liability of any kind arising from use of the SDK, save for liability that cannot lawfully be excluded.
9. Term and termination
9.1 The licence continues until terminated.
9.2 It terminates automatically on termination of the Developer Agreement, and may be terminated by ENCY on notice where the licensee is in breach of these terms.
9.3 On termination the licensee must cease use of the SDK and destroy all copies, save that Extensions already published may continue to be supported in accordance with the Developer Agreement.
10. General
10.1 These terms are governed by the laws of the Republic of Cyprus, and the courts of the Republic of Cyprus have exclusive jurisdiction.
